These Terms govern access to and use of the Capital4Trade Platform. They are designed to operate with, but remain separate from: the Capital4Trade Membership Agreement (organization-level membership, fees, term, and renewal); the Privacy Policy (collection and use of personal information); the Cookie Policy (cookies and similar technologies); Program Terms (a particular commercial or financial program); and Transaction Documents (a specific financing, insurance, logistics, payment, purchase, or other transaction).
If you use the Platform for an organization, references to "Organization" mean that legal entity, and you represent that you are authorized to bind it where these Terms require organizational acceptance.
3. Platform Services
3.1 Platform Functionality
Depending on eligibility, configuration, and applicable agreements, the Platform may enable business profiles and directories, applications and onboarding, document exchange, shipment information, transaction workflows, communications, reporting, analysis, scoring, artificial-intelligence tools, compliance reviews, and connections with commercial participants. Features may differ by User, Organization, plan and program.
3.2 Platform Facilitation and Separate Agreements
The Platform may provide technology, administration, information exchange, documentation support, transaction monitoring, and introductions to third-party participants. Capital4Trade's legal role, and the role of each funder, insurer, broker, logistics provider, or other participant, is governed exclusively by the applicable Membership Agreement, Program Terms, or Transaction Documents.
Unless an applicable written agreement expressly states otherwise, use of the Platform does not make Capital4Trade the User's or Organization's lender, insurer, investment adviser, legal adviser, fiduciary, carrier, freight forwarder, customs broker, or guarantor.
3.3 No Platform Approval or Guarantee
Platform access, an introduction, preliminary indication, automated output, or administrative review does not constitute approval, a commitment, professional advice, or a guarantee of any membership, program, transaction, or commercial result. Eligibility, approvals, and transaction terms are governed by the applicable separate agreements. Users remain responsible for reviewing information and making their own business decisions.
6. User Content and Organization Data
6.1 Ownership
As between the parties, Users and Organizations retain their rights in User Content and Organization Data. Capital4Trade retains its rights in the Platform, Capital4Trade Materials, templates, system data, analytics, and technology.
6.2 License to Operate the Platform
You grant Capital4Trade and its service providers a worldwide, non-exclusive license to host, copy, transmit, display, format, analyze, and otherwise process User Content and Organization Data only as reasonably necessary to provide, administer, secure, support, and improve the Platform; facilitate authorized programs and transactions; follow your instructions; and comply with law and applicable agreements. This license continues for as long as necessary for those purposes, including permitted retention after account closure.
6.3 User Responsibilities
You represent that you have all rights, permissions, notices, and lawful bases required to provide the content and permit the uses described in these Terms. You are responsible for accuracy, legality, quality, and appropriate backup of content, and must not submit information that you are prohibited from disclosing.
6.4 Aggregated and De-Identified Information
Capital4Trade may create and use statistics, analytics, benchmarks, and other information derived from Platform activity if the resulting information does not identify an individual or Organization and is not reasonably capable of being re-associated by a recipient. Capital4Trade may use that information for security, research, service improvement, operations, reporting, and lawful business purposes.
6.5 Exports and Copies
You are responsible for securing files and data after download or export. Capital4Trade may impose reasonable technical limits on exports and may withhold another participant's confidential information or data that you are not authorized to receive.
9. Confidentiality and Security
9.1 Platform Confidentiality
Confidentiality obligations between Capital4Trade and an Organization are governed by the applicable Membership Agreement or other written agreement. Separately, a User must not use or disclose non-public information obtained through the Platform except for the authorized business purpose, as permitted by the Organization that controls the information, or as required by law.
9.2 Security Measures
Capital4Trade will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect the confidentiality, integrity, and availability of the Platform and the information under Capital4Trade's control against unauthorized access, acquisition, use, alteration, disclosure, loss, or destruction.
Capital4Trade's security program may include, as appropriate, access controls, authentication measures, encryption, activity logging and monitoring, data backup and recovery procedures, vulnerability management, personnel security practices, incident-response procedures, and oversight of service providers that process information on Capital4Trade's behalf. If Capital4Trade becomes aware of a confirmed security incident affecting personal information or Organization Data under its control, it will take reasonable steps to investigate, contain, mitigate, and remediate the incident and will provide any notification required by applicable law or an applicable written agreement.
No method of electronic transmission, storage, or security protection is completely secure. Accordingly, Capital4Trade does not warrant that the Platform will be immune from unauthorized access, cyberattacks, data loss, system failure, or other security incidents.
9.3 User Security Duties
You must maintain appropriate device, network, credential, access-control, and personnel security; keep software reasonably current; limit local copies; and report suspected incidents promptly. You may not test or scan Capital4Trade systems without prior written authorization.
9.4 Privacy and Cookies
Capital4Trade's handling of personal information is described in the Privacy Policy. Use of cookies and similar technologies is described in the Cookie Policy. These policies are separate from these Terms.
18. Governing Law, Disputes and General Terms
18.1 Governing Law and Dispute Resolution
If a User acts for an Organization bound by a Membership Agreement, the governing-law and dispute-resolution provisions of that agreement govern disputes arising from Membership or matters covered by both documents. Otherwise, these Terms are governed by Florida law, without regard to conflict-of-law principles, and the Federal Arbitration Act governs this Section.
Before commencing arbitration, a party must provide written notice of the dispute and allow at least 30 days for good-faith resolution. Except for an eligible small-claims matter or temporary equitable relief protecting confidential information, security, access controls, or intellectual-property rights, a dispute arising from these Terms will be resolved by confidential binding arbitration before one arbitrator in Miami-Dade County, Florida, in English, under the American Arbitration Association's Commercial Arbitration Rules.
To the extent permitted by law, proceedings will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. Judgment on an award may be entered in a court with jurisdiction.
18.2 Notices
Capital4Trade may provide operational or legal notice through the Platform, to the email address associated with the account, or by another reasonable electronic method. Notice is effective when posted to the account or sent, unless the message is returned as undeliverable. Formal notices to Capital4Trade must be sent to admin@capital4trade.com and to any physical address identified in the applicable Order Form or legal notice page.
18.3 Changes to These Terms
Capital4Trade may update these Terms. For a material change, Capital4Trade will provide reasonable advance notice through the Platform or account contact information unless an earlier effective date is reasonably necessary for law or security. Capital4Trade may require renewed electronic acceptance. Continued use after the effective date constitutes acceptance where permitted by law.
18.4 General
The parties are independent contractors. These Terms do not create a partnership, joint venture, franchise, fiduciary, employment, or agency relationship. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. Failure to enforce a provision is not a waiver. No person other than the parties and express indemnitees has rights under these Terms.
You may not transfer your account or assign these Terms without Capital4Trade's prior written consent. Capital4Trade may assign these Terms to an affiliate or in connection with a merger, reorganization, or transfer of the Platform business. Provisions that by their nature should continue after termination will survive, including ownership, confidentiality, electronic records, disclaimers, liability, indemnification, disputes, and permitted data retention.
18.5 Entire Agreement
These Terms constitute the entire agreement between Capital4Trade and the User solely with respect to access to and use of the Platform and supersede prior or contemporaneous communications, representations, or agreements concerning that subject. These Terms do not replace, amend, or supersede any applicable Membership Agreement, Order Form, Program Terms, or Transaction Documents, each of which will continue to govern its respective subject matter.
Any purchase order or similar document issued by a User or Organization is for administrative purposes only and will not modify these Terms unless Capital4Trade expressly agrees to the modification in a writing signed by an authorized representative of Capital4Trade.
