Terms of Service

These Terms of Service are a binding agreement between Transport Networks LLC, doing business as Capital4Trade Network ("Capital4Trade," "C4T," "we," "us," or "our"), and each person or organization that accesses or uses the Platform ("User," "you," or "your").

Effective date: August 17, 2026

These Terms govern access to and use of the Capital4Trade Platform. They are designed to operate with, but remain separate from: the Capital4Trade Membership Agreement (organization-level membership, fees, term, and renewal); the Privacy Policy (collection and use of personal information); the Cookie Policy (cookies and similar technologies); Program Terms (a particular commercial or financial program); and Transaction Documents (a specific financing, insurance, logistics, payment, purchase, or other transaction).

If you use the Platform for an organization, references to "Organization" mean that legal entity, and you represent that you are authorized to bind it where these Terms require organizational acceptance.

1. Acceptance and Scope

1.1 Acceptance

By creating an account, clicking an acceptance button, signing electronically, accessing authenticated features, or otherwise using the Platform after being presented with these Terms, you agree to be bound by them. If you do not agree, do not create an account or use authenticated Platform features. A person who merely visits a public page is subject to the provisions that reasonably apply to public access, including acceptable use, intellectual property, disclaimers, liability limitations, and governing law.

1.2 Business Use Only

The Platform is offered for legitimate business and professional purposes. It is not intended for personal, family, household, or consumer use. You must not submit a consumer application or use a business account for a personal transaction.

1.3 Related Agreements and Order of Precedence

These Terms govern use of the Platform. The Membership Agreement governs organization-level membership, including fees, term, affirmative renewal, and membership termination. Program Terms govern a particular program, and Transaction Documents govern a particular transaction. The Privacy Policy and Cookie Policy govern the subjects stated in those policies.

If documents conflict, the Transaction Documents control for the applicable transaction, followed by the applicable Program Terms, the Membership Agreement for membership matters, and these Terms for general Platform use. An Order Form may vary these Terms only if it expressly identifies the provision being varied.

1.4 Definitions

Transaction DocumentsAgreements, applications, instruments, confirmations, disclosures, or other records governing a specific transaction.
User ContentContent that a User submits, uploads, transmits, creates, or makes available through the Platform.

2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years old, legally capable of entering into these Terms, and using the Platform for legitimate business activity. You may use the Platform for an Organization only if you are authorized to do so. Capital4Trade may require evidence of authority, business status, ownership, licensing, or eligibility.

2.2 Account Registration

You must provide complete, current, and accurate information and promptly update it. Capital4Trade may rely on account information and may reject, condition, restrict, or revoke registration when information cannot be verified or eligibility requirements are not met. An account does not guarantee membership, financing, insurance, transaction approval, or access to any particular Service.

2.3 Credentials and Security

Credentials are personal to the assigned User and may not be shared. You must use reasonable safeguards, including any multi-factor authentication offered or required, and promptly notify Capital4Trade at support@capital4trade.com if you suspect unauthorized access, credential compromise, or misuse. You are responsible for activity performed through your account until Capital4Trade receives notice and has a reasonable opportunity to act.

3. Platform Services

3.1 Platform Functionality

Depending on eligibility, configuration, and applicable agreements, the Platform may enable business profiles and directories, applications and onboarding, document exchange, shipment information, transaction workflows, communications, reporting, analysis, scoring, artificial-intelligence tools, compliance reviews, and connections with commercial participants. Features may differ by User, Organization, plan and program.

3.2 Platform Facilitation and Separate Agreements

The Platform may provide technology, administration, information exchange, documentation support, transaction monitoring, and introductions to third-party participants. Capital4Trade's legal role, and the role of each funder, insurer, broker, logistics provider, or other participant, is governed exclusively by the applicable Membership Agreement, Program Terms, or Transaction Documents.

Unless an applicable written agreement expressly states otherwise, use of the Platform does not make Capital4Trade the User's or Organization's lender, insurer, investment adviser, legal adviser, fiduciary, carrier, freight forwarder, customs broker, or guarantor.

3.3 No Platform Approval or Guarantee

Platform access, an introduction, preliminary indication, automated output, or administrative review does not constitute approval, a commitment, professional advice, or a guarantee of any membership, program, transaction, or commercial result. Eligibility, approvals, and transaction terms are governed by the applicable separate agreements. Users remain responsible for reviewing information and making their own business decisions.

4. Acceptable Use

4.1 Permitted Use

Capital4Trade grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform solely for authorized business purposes and in accordance with these Terms, applicable agreements, documentation, usage limits, and law.

4.2 Prohibited Conduct

You must not, directly or through another person:

  • Provide false, forged, manipulated, misleading, unlawfully obtained, or materially incomplete information.
  • Impersonate another person, misrepresent authority, or use an account not assigned to you.
  • Access data, accounts, systems, functions, or areas for which you lack authorization.
  • Bypass or defeat access, security, rate, usage, or technical controls, or conduct penetration testing without prior written authorization.
  • Upload malware or harmful code, interfere with Platform operation, or impose an unreasonable load on systems.
  • Scrape, harvest, crawl, index, or systematically extract Platform content or data except through an expressly authorized interface.
  • Reverse engineer, decompile, disassemble, or attempt to discover source code or non-public models, except to the limited extent law prohibits restriction.
  • Share credentials, resell access, operate unauthorized bots, or use an API outside its documentation or assigned limits.
  • Infringe intellectual-property, privacy, confidentiality, publicity, or other rights.
  • Engage in fraud, bribery, corruption, money laundering, sanctions evasion, unlawful discrimination, or other illegal conduct.
  • Use Platform information to build or train a competing product or database without written permission.
  • Use the Platform in a way reasonably likely to harm another person, Capital4Trade, the Network, or the integrity of a program or transaction.

4.3 Compliance with Law

You must use the Platform in compliance with applicable law and may not use it to facilitate unlawful, fraudulent, sanctioned, or otherwise prohibited activity. Broader organizational and transaction-specific compliance obligations are governed by the Membership Agreement, Program Terms, and Transaction Documents, as applicable.

5. Organization and Account Owner Controls

5.1 Organization Responsibility

An Organization is responsible for its Account Owners, Authorized Users, account configuration, permissions, and use of the Platform. It must grant access only to personnel with a legitimate business need and promptly revoke access when authorization ends.

5.2 Owner Authority

An Account Owner may invite or remove Users, assign roles, manage settings, access or export Organization Data, submit instructions, and perform other functions made available for the Organization. Capital4Trade may rely on an Account Owner's instructions until the Organization changes or revokes that authority through an accepted process.

5.3 User Relationship with Organization

If your account is linked to an Organization, the Organization may control the account and Organization Data, monitor activity, change permissions, or request transfer or deletion consistent with applicable law and agreements. Questions about internal authorization should be directed to the Organization's Account Owner.

5.4 Conflicting Instructions

Capital4Trade may pause action while it reasonably verifies conflicting, suspicious, or unauthorized instructions. It may require additional approval, evidence of authority, or an updated owner designation.

6. User Content and Organization Data

6.1 Ownership

As between the parties, Users and Organizations retain their rights in User Content and Organization Data. Capital4Trade retains its rights in the Platform, Capital4Trade Materials, templates, system data, analytics, and technology.

6.2 License to Operate the Platform

You grant Capital4Trade and its service providers a worldwide, non-exclusive license to host, copy, transmit, display, format, analyze, and otherwise process User Content and Organization Data only as reasonably necessary to provide, administer, secure, support, and improve the Platform; facilitate authorized programs and transactions; follow your instructions; and comply with law and applicable agreements. This license continues for as long as necessary for those purposes, including permitted retention after account closure.

6.3 User Responsibilities

You represent that you have all rights, permissions, notices, and lawful bases required to provide the content and permit the uses described in these Terms. You are responsible for accuracy, legality, quality, and appropriate backup of content, and must not submit information that you are prohibited from disclosing.

6.4 Aggregated and De-Identified Information

Capital4Trade may create and use statistics, analytics, benchmarks, and other information derived from Platform activity if the resulting information does not identify an individual or Organization and is not reasonably capable of being re-associated by a recipient. Capital4Trade may use that information for security, research, service improvement, operations, reporting, and lawful business purposes.

6.5 Exports and Copies

You are responsible for securing files and data after download or export. Capital4Trade may impose reasonable technical limits on exports and may withhold another participant's confidential information or data that you are not authorized to receive.

7. Third-Party Data and Permissions

7.1 Third-Party Information

If you submit information about customers, suppliers, employees, beneficial owners, counterparties, carriers, or other persons, you represent that collection and disclosure are lawful and that required notices, consents, permissions, and contractual rights have been obtained.

7.2 Verification and Sharing

You authorize Capital4Trade to verify submitted information through lawful sources and to share it with service providers, affiliates, and program or transaction participants to the extent reasonably necessary for the requested Services, subject to applicable agreements and the Privacy Policy.

8. Integrations and Third-Party Services

8.1 Third-Party Terms

Third-party services are governed by their own terms and privacy practices. Capital4Trade does not control and is not responsible for a third party's systems, availability, security, data, decisions, products, or acts and omissions, except to the extent a separate written agreement expressly states otherwise.

8.2 Integration Changes

An integration may be limited, interrupted, changed, or discontinued because of third-party action, technical conditions, security risk, law, or product changes. Capital4Trade will use commercially reasonable efforts to provide notice of a material discontinuation when practicable but does not guarantee continued compatibility.

9. Confidentiality and Security

9.1 Platform Confidentiality

Confidentiality obligations between Capital4Trade and an Organization are governed by the applicable Membership Agreement or other written agreement. Separately, a User must not use or disclose non-public information obtained through the Platform except for the authorized business purpose, as permitted by the Organization that controls the information, or as required by law.

9.2 Security Measures

Capital4Trade will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect the confidentiality, integrity, and availability of the Platform and the information under Capital4Trade's control against unauthorized access, acquisition, use, alteration, disclosure, loss, or destruction.

Capital4Trade's security program may include, as appropriate, access controls, authentication measures, encryption, activity logging and monitoring, data backup and recovery procedures, vulnerability management, personnel security practices, incident-response procedures, and oversight of service providers that process information on Capital4Trade's behalf. If Capital4Trade becomes aware of a confirmed security incident affecting personal information or Organization Data under its control, it will take reasonable steps to investigate, contain, mitigate, and remediate the incident and will provide any notification required by applicable law or an applicable written agreement.

No method of electronic transmission, storage, or security protection is completely secure. Accordingly, Capital4Trade does not warrant that the Platform will be immune from unauthorized access, cyberattacks, data loss, system failure, or other security incidents.

9.3 User Security Duties

You must maintain appropriate device, network, credential, access-control, and personnel security; keep software reasonably current; limit local copies; and report suspected incidents promptly. You may not test or scan Capital4Trade systems without prior written authorization.

9.4 Privacy and Cookies

Capital4Trade's handling of personal information is described in the Privacy Policy. Use of cookies and similar technologies is described in the Cookie Policy. These policies are separate from these Terms.

10. Electronic Communications and Transactions

10.1 Electronic Actions and Authority

You consent to conduct Platform communications and transactions electronically. To the extent permitted by law, clicking an acceptance control, entering credentials, applying an electronic signature, submitting a workflow, or taking another action identified as assent has the same effect as a handwritten signature or paper record.

An electronic action associated with your authenticated account may be attributed to you and, when you act within your authority, to your Organization. You must review information before submission and promptly report an unauthorized or erroneous action. Capital4Trade may require additional verification.

10.2 Records and Technical Access

Capital4Trade may maintain records of acceptance and transaction activity, including the applicable document version, identity, date, time, device, and authentication information. You should download or retain copies made available to you, and are responsible for suitable internet access, a supported browser or device, and a current email address. If you cannot access a required record, contact support@capital4trade.com before completing the transaction.

11. Platform Availability and Changes

11.1 Availability

Capital4Trade will use commercially reasonable efforts to operate the Platform, but does not promise uninterrupted, error-free, or universally available service. Availability may be affected by maintenance, providers, internet conditions, security events, force majeure, or other circumstances beyond reasonable control. Any service-level commitment applies only if stated in a separate written agreement.

11.2 Maintenance and Support

Capital4Trade may perform scheduled or emergency maintenance and may establish reasonable support processes, operating hours, technical requirements, and usage limits. Support response and resolution times are not guaranteed unless stated in an applicable service-level agreement.

11.3 Changes to the Platform

Capital4Trade may add, modify, replace, or discontinue features to improve the Platform, address risk or law, or respond to business and technical needs. When practicable, Capital4Trade will provide reasonable notice before discontinuing a material generally available function on which active customers materially rely.

11.4 Beta and Preview Features

Beta, pilot, preview, experimental, or evaluation features may be incomplete, changed, or withdrawn at any time; may be subject to additional terms; and are provided without service-level commitments. You must not use them for high-risk or production-critical activity unless expressly authorized.

12. Intellectual Property and Feedback

12.1 Capital4Trade Materials

Capital4Trade and its licensors retain all rights in the Platform, software, interfaces, workflows, databases, models, documentation, reports, designs, trademarks, and content created or supplied by Capital4Trade ("Capital4Trade Materials"). No rights are granted except the limited access right expressly stated in these Terms.

12.2 Restrictions

You may not copy, modify, distribute, sell, sublicense, publicly display, create derivative works from, remove proprietary notices from, or commercially exploit Capital4Trade Materials unless expressly authorized. You may not use Capital4Trade names or marks in a manner suggesting sponsorship, agency, or endorsement without permission.

12.3 Feedback

If you voluntarily provide an idea, suggestion, or feedback about the Platform, you grant Capital4Trade a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate it without restriction or payment, provided Capital4Trade does not publicly identify you as the source without permission.

12.4 Copyright and Rights Complaints

A rights holder who believes content on the Platform infringes its rights may send a sufficiently detailed notice to admin@capital4trade.com. Capital4Trade may remove or restrict disputed content and request additional information without determining the ultimate merits of the claim.

13. Monitoring, Suspension and Enforcement

13.1 Monitoring and Review

Capital4Trade may log and review Platform activity, content, and technical signals to operate and secure the Platform, verify compliance, investigate suspected misconduct, protect participants, preserve evidence, and satisfy legal or contractual duties. Monitoring will be conducted subject to applicable law and the Privacy Policy.

13.2 Protective Action

Capital4Trade may restrict, suspend, quarantine, remove, or disable access, content, an integration, or a transaction workflow when it reasonably believes action is necessary because of a security threat, suspected fraud, legal requirement, sanctions or compliance concern, unauthorized access, nonpayment under an applicable agreement, material breach, or risk of harm.

13.3 Notice and Opportunity to Respond

When practicable and lawful, Capital4Trade will provide notice of a material restriction and a reasonable opportunity to provide information or cure a remediable issue. Immediate action may be taken when delay could increase harm, violate law, compromise security, or prejudice an investigation.

13.4 Appeal and Cooperation

You may request review of an enforcement action by contacting support@capital4trade.com with relevant facts and documentation. You must cooperate with reasonable verification, compliance, security, and investigation requests. Capital4Trade may maintain restrictions while a material risk remains unresolved.

14. Disclaimers

14.1 As-Is Platform

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CAPITAL4TRADE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION, EXCEPT TO THE EXTENT AN EXPRESS WARRANTY IS STATED IN A SEPARATE WRITTEN AGREEMENT.

14.2 Information and Automated Tools

Information from Users, third parties, external sources, analytics, models, scores, and artificial-intelligence features may be incomplete, delayed, inaccurate, or unsuitable for a particular purpose. Outputs are informational and may contain errors. Unless applicable Transaction Documents expressly state otherwise, they are not legal, tax, investment, insurance, credit, or other professional advice or a final financing decision.

14.3 Required Human Review

You must independently review and validate material information and automated outputs before relying on them or taking action. You must not use an automated output as the sole basis for a decision that has legal or similarly significant effects on a person unless that use is lawful and expressly authorized.

15. Limitation of Liability

15.1 Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPITAL4TRADE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS; OR LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA, EVEN IF ADVISED OF THE POSSIBILITY.

15.2 Applicable Contractual Limits

Liability arising from Membership, a specific program, or a transaction is governed by the applicable Membership Agreement, Order Form, Program Terms, or Transaction Documents. For a claim arising solely from access to or use of the Platform and not governed by another agreement, Capital4Trade's liability will be limited to the maximum extent permitted by applicable law. These limitations apply regardless of the legal theory asserted and do not limit liability to the extent a limitation is prohibited by law.

16. Indemnification

Indemnification obligations arising from Membership, an Organization's activities, a program, or a transaction are governed by the applicable Membership Agreement, Program Terms, or Transaction Documents. Separately and to the extent permitted by law, a User will defend, indemnify, and hold harmless Capital4Trade, Transport Networks LLC, their affiliates, and their respective officers, managers, employees, and representatives from third-party claims arising from the User's unlawful or unauthorized use of the Platform, User Content, violation of another person's rights, fraud, or willful misconduct. Capital4Trade will provide reasonably prompt notice and reasonable cooperation, and no settlement may impose an admission or non-monetary obligation on an indemnified party without its consent.

17. Termination and Data Handling

17.1 Ending Platform Use

You may stop using the Platform at any time and may request account closure through an available account process or support@capital4trade.com. An Account Owner may revoke an Authorized User's access. Membership expiration, renewal, cancellation, and termination are governed exclusively by the Membership Agreement. Closing an account does not cancel or amend any Membership Agreement, Program Terms, Transaction Documents, or obligations accrued under them.

17.2 Termination or Suspension by Capital4Trade

Capital4Trade may suspend or terminate Platform access for the reasons in Section 13, if an account remains inactive for an extended period after reasonable notice, or if Capital4Trade discontinues the Platform. When practicable, notice will identify the effective date and available steps.

17.3 Data Export and Retention

You should export data you are entitled to receive before account closure. After termination, Capital4Trade may delete or render inaccessible active account data, subject to reasonable transition arrangements, the Privacy Policy, applicable agreements, legal holds, recordkeeping duties, fraud prevention, dispute needs, and ordinary backup cycles. Capital4Trade may retain transaction and acceptance records for legally permitted business and compliance purposes.

18. Governing Law, Disputes and General Terms

18.1 Governing Law and Dispute Resolution

If a User acts for an Organization bound by a Membership Agreement, the governing-law and dispute-resolution provisions of that agreement govern disputes arising from Membership or matters covered by both documents. Otherwise, these Terms are governed by Florida law, without regard to conflict-of-law principles, and the Federal Arbitration Act governs this Section.

Before commencing arbitration, a party must provide written notice of the dispute and allow at least 30 days for good-faith resolution. Except for an eligible small-claims matter or temporary equitable relief protecting confidential information, security, access controls, or intellectual-property rights, a dispute arising from these Terms will be resolved by confidential binding arbitration before one arbitrator in Miami-Dade County, Florida, in English, under the American Arbitration Association's Commercial Arbitration Rules.

To the extent permitted by law, proceedings will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. Judgment on an award may be entered in a court with jurisdiction.

18.2 Notices

Capital4Trade may provide operational or legal notice through the Platform, to the email address associated with the account, or by another reasonable electronic method. Notice is effective when posted to the account or sent, unless the message is returned as undeliverable. Formal notices to Capital4Trade must be sent to admin@capital4trade.com and to any physical address identified in the applicable Order Form or legal notice page.

18.3 Changes to These Terms

Capital4Trade may update these Terms. For a material change, Capital4Trade will provide reasonable advance notice through the Platform or account contact information unless an earlier effective date is reasonably necessary for law or security. Capital4Trade may require renewed electronic acceptance. Continued use after the effective date constitutes acceptance where permitted by law.

18.4 General

The parties are independent contractors. These Terms do not create a partnership, joint venture, franchise, fiduciary, employment, or agency relationship. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. Failure to enforce a provision is not a waiver. No person other than the parties and express indemnitees has rights under these Terms.

You may not transfer your account or assign these Terms without Capital4Trade's prior written consent. Capital4Trade may assign these Terms to an affiliate or in connection with a merger, reorganization, or transfer of the Platform business. Provisions that by their nature should continue after termination will survive, including ownership, confidentiality, electronic records, disclaimers, liability, indemnification, disputes, and permitted data retention.

18.5 Entire Agreement

These Terms constitute the entire agreement between Capital4Trade and the User solely with respect to access to and use of the Platform and supersede prior or contemporaneous communications, representations, or agreements concerning that subject. These Terms do not replace, amend, or supersede any applicable Membership Agreement, Order Form, Program Terms, or Transaction Documents, each of which will continue to govern its respective subject matter.

Any purchase order or similar document issued by a User or Organization is for administrative purposes only and will not modify these Terms unless Capital4Trade expressly agrees to the modification in a writing signed by an authorized representative of Capital4Trade.
